03/14/07 - TierOne Converged Networks to Merge

Dallas, March 14, 2007 - TierOne Converged Networks of Dallas, Texas announced today that it has entered into a merger agreement with Zyterra Solutions. The merger is expected to close by May 1, 2007 and will rename the combined company “Zyterra Networks, Inc.”

Kevin Weaver, President of Zyterra Networks said, “We come into this opportunity with the idea that wireless technology can open the gate that has restricted widespread access to broadband services and provide a very simple and satisfying consumer experience. By merging, significant synergies will be realized which will provide the economic and operating backbone for a sustained expansion.”

Hunter Elam, CEO of Zyterra Networks, stated, “Success in delivering services that broadband consumers desire will require carrier grade technology and an understanding of local requirements,” continued Elam, “Zyterra Networks has both. We expect the Zyterra Networks service to be competitive with current cable and DSL solutions and, in some rural instances, may be the only meaningful viable broadband access choice a customer has. I am gratified to report that our proposed transaction is one that provides a truly outstanding fit between two highly compatible organizations.”

The launch of Zyterra Networks is a culmination of more than two years of activity that has included building the network using SkyPilot equipment, winning bids to provide service to several municipalities and assembling a management team with decades of experience managing telecommunications businesses.

Zyterra Networks is now ready to launch commercial services and will begin offering service in Ellis County, Texas, this spring. Zyterra Networks expects to launch the service in a number of other markets both in Texas and other states in the upcoming year.
